Question : What type of legal counselor is best for incorporating? ?
Can anyone tell me what type of legal counselor I would need to talk to about incorporating my company? Would this be a financial planner, accountant, tax planner, lawyer, a combination of these, or some other adviser altogether?

I need someone to help setup the corporate structure and various options to get the best protection and tax benefit. Things such as home office rental, seminar & education allowances, cafeteria plans, etc.

It kind of depends on how competent the individual is. Some accountants are well versed enough in the legal aspects of setting up a corporation, but in general, most accountants can tell you the tax advantages between setting up as a C-corp, LLC, Sub-S corp, etc. Most accountants are more qualified, too, to discuss tax matters like home office usage, cafeteria plans, etc. However, there are some legal issues that accountants aren’t always on top of. For example, if someone were to slip and fall at your place of business, what type of corporation would best protect you personally from liability?

So, to make a short story long LOL, go to your accountant first, then talk to an attorney about the liability implications.
